THIS FUTURE TALKPRO™ AGREEMENT (“AGREEMENT”) IS A LEGALLY BINDING CONTRACT AND IT IS VERY IMPORTANT THAT YOU CAREFULLY READ, UNDERSTAND AND AGREE WITH ALL OF THE TERMS AND CONDITIONS SET FORTH HEREIN BEFORE IN ANY MANNER ACCESSING OR USING FutureMD talkEHR™.

1. Definitions:

Client: means the individual Provider and/or entity accepting the terms of this Agreement and executing the same electronically.
Provider: Provider means an individual, associated with Client and receiving products/services hereunder, who is licensed by a jurisdiction within the United States, to practice medicine or surgery or provide medical or healthcare services, furnish bills, and get paid for health care services in the normal course of business.
User: Any individual including Provider, who has been authorized, by allotting him/her a user name & password, to (a) access https://www.futuremdsolutions.com/; and/or (b) operate FutureMD talkEHR™ on Client’s behalf.
FutureMD talkEHR™: Means Company’s proprietary cloud-based, speech-recognition enabled electronic health record application available online at https://www.futuremdsolutions.com/ and which is accessed and used by Company’s clients under a license.
ID: ID means unique user name and password provided by Company to Client’s User(s) for accessing/operating FutureMD talkEHR™ available at https://www.futuremdsolutions.com/.

2. Software License. Beginning from the Commencement Date, Company will provide Client a non-exclusive, non-transferable, non-assignable, limited license to access & use FutureMD talkEHR™ (MACRA/MIPS compliant - MU3 certified) available on https://www.futuremdsolutions.com/ subject to the limitations hereinafter set forth.

3. Additional Services. Company, in its sole discretion, may choose to offer Client a suite of additional practice management services (“Additional Services”).

3-A: Telehealth Services – Terms and Conditions:

A. Telehealth Medical Services - Company’s Responsibilities: Company will provide a fully integrated telehealth solution as part of FutureMD talkEHR™ / talkPHR to facilitate the delivery of medical care.

B. Telehealth Platform Fee. Company will not charge a separate fee for Client’s/its Providers’ access/utilization of Telehealth Platform.

C. Client’s Responsibilities. Client and its Providers/Users are, and will always remain, solely responsible for the provision of Telehealth Medical Services.

4. Setup Fee. Upon execution of this Agreement, Client shall pay to Company a one-time, non-refundable, setup fee in the amount of Nine Hundred and Ninety-Five Dollars ($995.00).

5. Monthly Fee. Client shall pay Company a monthly fee of Two Hundred and Forty-Nine Dollars ($249.00) per Provider.

6. Term; Termination. The initial term of this Agreement shall be one (1) year.

14. Payment Procedure. Client agrees to pay all fees associated with this Agreement exclusively by Automated Clearinghouse (“ACH”) payment method. Notices related to payment shall be sent to payment@futuremdsolutions.com.

25. Notices. All notices shall be sent by certified mail to FutureMD, 24285 Katy Fwy Suite 300, Katy, TX 77494.

27. Choice Of Law; Forum. This Agreement shall be governed by the laws of the State of Texas.

30. ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the parties.

Client may access and use FutureMD talkEHR™ through the Company’s assigned IDs’. The practice management features available hereunder to Client include, in a speech recognition enabled environment, creation/generation of healthcare claims and charts, generating of HCFA claim forms, task section for office, lab results, encounters and patient statements, practice management scheduler, and Company’s standard practice management reports. Company will, subject to Company’s standard policies and procedures, submit Client’s medical insurance claims electronically, entered by Client through FutureMD talkEHR™, and send reminders to Client’s patients for scheduled appointments and patient balances due in the form of either, or a combination of: (i) automatically generated reminder calls; and/or (ii) reminders on talkPHR™. Company will post payments (through ERAs only), enable automated (systematic rule-based) denial/rejection management and make Client’s billing information available in FutureMD talkEHR™.

3. Additional Services. Company, in its sole discretion, may choose to offer Client a suite of additional practice management services (“Additional Services”).

PART I – Revenue Cycle Management (RCM) Services

2. Services. Company shall begin providing RCM Services to Client from the Commencement Date...

3. Additional Services. Company, in its sole discretion, may choose to offer Client additional services including talkPHR™, electronic prescribing, PDMP, lab integrations, patient reminders, mHealth apps, cloud fax, and paper statements.

3-A. Telehealth Services – Terms and Conditions.

B. Telehealth Platform Monthly Fees. Client shall pay Forty-Nine Dollars ($49.00) per Provider per month.

3-B. Credentialing Services.
